These Terms and Conditions (“Terms”) govern access to and use of the Mojo Molecular LLC website, online store, products, and related services. In these Terms, “Mojo Molecular,” “we,” “us,” and “our” refer to Mojo Molecular LLC. “You” and “your” refer to the person or organization accessing the website or placing an order.

Please read these Terms before using the website or submitting an order. By using the website, creating an account, or checking the box accepting these Terms during checkout, you agree to be bound by them. If you do not agree, do not use the website or place an order.

  1. ELIGIBILITY AND AUTHORITY

You must be at least 18 years old and legally capable of entering into a binding agreement to use this website or purchase products. If you purchase on behalf of a company, laboratory, institution, or other organization, you represent that you are authorized to bind that organization to these Terms.

  1. RESEARCH USE ONLY

Unless expressly stated otherwise, every product offered by Mojo Molecular is sold solely for lawful laboratory, analytical, and research purposes.

Products are not intended for human or veterinary use, consumption, injection, administration, therapeutic application, diagnosis, treatment, cure, mitigation, or prevention of any disease or medical condition. Products are not sold as drugs, dietary supplements, foods, cosmetics, or medical devices.

By placing an order, you represent and agree that:

  • You are purchasing the products solely for lawful research, analytical, or laboratory purposes.
  • You will not use, administer, distribute, or promote the products for human or animal consumption or therapeutic use.
  • You possess the knowledge, facilities, equipment, procedures, and protective measures reasonably appropriate for the safe handling, storage, and use of the products.
  • You will comply with all applicable federal, state, local, institutional, carrier, and workplace laws, regulations, policies, permits, and safety requirements.
  • You will not relabel, market, resell, or represent a product as a drug, dietary supplement, food, cosmetic, medical treatment, or consumer-use product.

Mojo Molecular does not provide dosing, administration, reconstitution, therapeutic, diagnostic, or clinical guidance. We may refuse, hold, limit, or cancel an order when we reasonably believe the order cannot be lawfully, safely, or reliably fulfilled.

  1. PRODUCT INFORMATION AND DOCUMENTATION

We make reasonable efforts to provide accurate product names, quantities, physical-form descriptions, specifications, photographs, lot information, storage information, and supporting documents. Minor variations in appearance, packaging, labeling, or presentation may occur, and photographs may be representative rather than lot-specific.

Certificates of Analysis and other quality documents, when provided, apply only to the lot, batch, or sample identified in the document. You are responsible for reviewing available information and determining whether a product is suitable for your intended lawful research.

Website content is provided for general product and research information only and is not medical, veterinary, pharmaceutical, legal, regulatory, or other professional advice.

  1. ACCOUNTS AND CUSTOMER INFORMATION

You may be permitted to check out as a guest or create an account. You are responsible for providing complete and accurate contact, billing, shipping, and payment information and for keeping account credentials confidential.

You are responsible for activity conducted through your account unless caused by our failure to use reasonable security measures. Notify us promptly if you believe an account or order has been accessed without authorization.

  1. PRICES, TAXES, PROMOTIONS, AND AVAILABILITY

Prices are shown in U.S. dollars unless stated otherwise. Prices, product availability, shipping charges, promotions, and coupon terms may change for future orders without notice.

Applicable taxes, shipping charges, provider fees, and other amounts will be shown during checkout when practicable. Customers remain responsible for taxes, duties, fees, or reporting obligations imposed on them by law.

Promotions and coupon codes may be limited by date, product, customer, quantity, or other stated conditions. Unless expressly stated otherwise, promotions cannot be combined, exchanged for cash, or applied retroactively.

We may correct typographical, pricing, inventory, or technical errors. If an error materially affects an order, we will contact you, offer a reasonable correction when available, or cancel the affected portion and issue an appropriate refund or credit.

  1. ORDER SUBMISSION AND ACCEPTANCE

Submitting an order is an offer to purchase. An automated order confirmation acknowledges receipt but does not guarantee acceptance or fulfillment.

An order is accepted when payment is confirmed and we approve the order for processing. We may refuse or cancel an order before shipment because of product unavailability, payment failure, suspected fraud, identity or address concerns, pricing or technical errors, legal or carrier restrictions, unsafe or prohibited intended use, or other reasonable operational concerns.

If we cancel an unshipped order after receiving payment, we will provide an appropriate refund or credit consistent with the payment method, our Returns, Cancellations, and Refunds Policy, and applicable law.

  1. PAYMENTS, PAYRAM, AND DIGITAL ASSETS

Available payment methods are displayed at checkout. Payments may be facilitated through PayRam and independent services that provide digital-asset purchases, wallet connections, identity verification, fraud prevention, or related services, including MoonPay or other providers.

A card-funded PayRam checkout may involve two separate steps: purchasing a digital asset through an independent provider and transferring that asset to Mojo Molecular through PayRam. Independent providers may require an account, identity verification, additional terms, fees, or separate approval. Mojo Molecular does not control an independent provider’s eligibility decisions, exchange rates, spreads, fees, availability, or verification process.

Digital-asset transfers may be irreversible and publicly recorded on a blockchain. Before sending payment, you are responsible for confirming the asset, network, amount, destination address, and payment-request expiration time.

Unsupported assets or networks, expired requests, underpayments, overpayments, duplicate payments, or payments sent to an incorrect address may require manual review and may not be recoverable. We will make reasonable efforts to reconcile a payment that can be reliably identified, but we do not guarantee recovery of assets sent incorrectly.

  1. SHIPPING AND DELIVERY

Shipping availability, rates, methods, estimated timeframes, signature requirements, address responsibilities, and procedures for delayed, lost, damaged, or incorrect shipments are governed by our Shipping Policy, which is incorporated into these Terms.

Orders paid with digital assets are not released for fulfillment until payment has been detected, sufficiently confirmed, and matched to the order.

Delivery dates are estimates unless expressly identified as guaranteed. If we cannot ship within a promised timeframe, we will provide any notice, delay option, cancellation option, or refund required by applicable law.

  1. CANCELLATIONS, RETURNS, AND REFUNDS

Order cancellations, return eligibility, damaged or incorrect products, lost shipments, and refund procedures are governed by our Returns, Cancellations, and Refunds Policy, which is incorporated into these Terms.

Because laboratory research materials require controlled handling and chain-of-custody protection, products are generally not returnable after shipment except as provided in that policy or required by law.

Nothing in these Terms limits a right or remedy that cannot lawfully be waived.

  1. PROHIBITED USE OF THE WEBSITE

You may not:

  • Use the website or products for an unlawful, fraudulent, deceptive, abusive, or unauthorized purpose.
  • Attempt to purchase products for prohibited human or veterinary use.
  • Provide false identity, billing, shipping, research-use, or payment information.
  • Interfere with website security, payment systems, accounts, servers, or networks.
  • Introduce malicious code, scrape the website in a manner that burdens our systems, or attempt unauthorized access.
  • Copy, reproduce, modify, distribute, or commercially exploit website content except as allowed by law or with our written permission.
  • Use Mojo Molecular branding, product content, or documentation to misrepresent affiliation, approval, endorsement, or product origin.

We may suspend access, cancel orders, preserve records, or report suspected unlawful activity when reasonably necessary to protect customers, Mojo Molecular, service providers, or the public.

  1. INTELLECTUAL PROPERTY

Unless otherwise stated, original website content, branding, logos, photographs, graphics, page layouts, written materials, and other content are owned by or licensed to Mojo Molecular and are protected by applicable intellectual-property laws.

You may view and print reasonable portions of the website for personal or internal research-purchasing purposes. No other license is granted. Third-party trademarks and materials remain the property of their respective owners.

  1. THIRD-PARTY SERVICES AND LINKS

The website may link to or integrate with third-party services for payment, identity verification, digital assets, shipping, communications, analytics, or other functions. Third-party services are governed by their own terms and privacy policies.

Mojo Molecular is not responsible for an independent third party’s downtime, content, approval decisions, security practices, fees, exchange rates, or performance, except to the extent responsibility cannot lawfully be excluded.

  1. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the website and products are provided on an “as available” basis, subject to any express written specifications, lot documentation, or warranties provided by Mojo Molecular.

We do not warrant that the website will be uninterrupted or error-free, that every third-party service will remain available, or that a product will produce a particular research result. Research outcomes may vary based on methods, equipment, storage, handling, environment, and other factors outside our control.

Any warranties that cannot lawfully be excluded or limited remain in effect.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Mojo Molecular and its owners, officers, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the website, third-party services, digital-asset volatility, improper storage or handling, prohibited use, or inability to use a product or service.

For a claim arising from a specific order, Mojo Molecular’s total liability will not exceed the amount paid to Mojo Molecular for the product or order giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, gross negligence, personal injury caused by liability that cannot lawfully be limited, or any other responsibility that applicable law does not permit us to exclude or limit.

  1. RESPONSIBILITY FOR UNLAWFUL OR PROHIBITED USE

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Mojo Molecular and its owners, officers, employees, and agents from third-party claims, damages, penalties, or reasonable costs arising from your unlawful use of the website or products, prohibited human or veterinary use, material violation of these Terms, unauthorized resale or relabeling, or failure to follow applicable handling and safety requirements.

This obligation does not apply to the extent a claim was caused by Mojo Molecular’s fraud, willful misconduct, or gross negligence.

  1. PRIVACY

Our collection and use of personal information are described in our Privacy Policy, which is incorporated into these Terms. Public-blockchain transactions and records retained by independent payment or identity-verification providers may remain outside Mojo Molecular’s control.

  1. ELECTRONIC COMMUNICATIONS

You consent to receive order confirmations, payment notices, policy notices, shipping updates, customer-service communications, and other transaction-related records electronically at the email address or telephone number you provide.

You may withdraw consent to promotional communications as described in our Privacy Policy. Transactional or legally required communications may still be sent when necessary to administer an order or account.

  1. INFORMAL DISPUTE RESOLUTION

Before filing a lawsuit, you and Mojo Molecular agree to make a good-faith effort to resolve the dispute informally. Send a written description of the issue, relevant order number, requested resolution, and supporting information to contactus@mojomolecular.com. We will make a reasonable effort to respond within 30 days.

This section does not prevent either party from seeking urgent injunctive relief, filing an eligible claim in small-claims court, reporting an issue to a government agency, or exercising a right that cannot lawfully be restricted.

  1. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where federal law or a consumer-protection law requires otherwise.

Any court proceeding that is not eligible for small-claims court must be brought in a state or federal court having jurisdiction in or serving Franklin County, Pennsylvania, unless applicable law gives you a nonwaivable right to bring the claim elsewhere.

  1. CHANGES TO THESE TERMS

We may update these Terms to reflect changes in our website, products, services, payment methods, or legal obligations. Revised Terms will be posted with a new “Last Updated” date.

Changes apply prospectively. The version displayed and accepted when an order is submitted will generally govern that order unless a change is required by law or you and Mojo Molecular agree otherwise.

  1. SEVERABILITY, WAIVER, AND ENTIRE AGREEMENT

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the affected provision will be enforced to the maximum extent permitted by law.

A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.

These Terms, together with the Privacy Policy, Shipping Policy, Returns, Cancellations, and Refunds Policy, Legal Notice, and any product-specific terms shown at checkout, constitute the agreement between you and Mojo Molecular concerning the website and orders.
